Item 3.02 Unregistered Sales of Equity Securities.
On July 21, 2023, Healthwell Acquisition Corp. I, a Delaware corporation (the “Company”), issued an aggregate of 6,249,999 shares of the Company’s Class A common stock, par value $0.0001 per share (the “Class A Shares”), to Healthwell Acquisition Corp. I Sponsor LLC, the Company’s sponsor (the “Sponsor”), upon the conversion of an equal number of the Company’s Class B common stock, par value $0.0001 per share (the “Class B Shares”), held by the Sponsor (the “Conversion”). The 6,249,999 Class A Shares issued in the Conversion, approximately 20.0% of the total issued and outstanding Class A Shares after the Conversion, are subject to the same restrictions as applied to the Class B Shares before the Conversion, including, among others, certain transfer restrictions, waiver of redemption rights and the obligation to vote in favor of an initial business combination as described in the prospectus for the Company’s initial public offering (the “IPO”).
The issuance of the Class A Shares was made pursuant to the exemption from registration contained in Section 3(a)(9) of the Securities Act of 1933, as amended.

Supplement to the Definitive Proxy Statement
On July 5, 2023, the Company filed with the U.S. Securities and Exchange Commission (the “SEC”) a definitive proxy statement (the “Definitive Proxy Statement”) for the solicitation of proxies in connection with a special meeting in lieu of an annual meeting of the Company’s stockholders to be held on July 26, 2023 (the “Meeting”) to consider and vote on, among other proposals, a proposal to amend the Company’s amended and restated certificate of incorporation to extend the period by which the Company is required to consummate its initial business combination (the “Extension Amendment Proposal”).

1% Excise Tax
Notwithstanding any statements to the contrary in the Definitive Proxy Statement, the Company will not use, now or in the future, any funds in the Trust Account, including any interest thereon, to pay for any excise tax imposed under the Inflation Reduction Act of 2022.
Conversion of Class B Common Stock
On July 21, 2023, the Company issued an aggregate of 6,249,999 Class A Shares to the Sponsor upon the conversion of an equal number of Class B Shares. The 6,249,999 Class A Shares issued in the Conversion, approximately 20.0% of the total issued and outstanding Class A Shares after the Conversion, are subject to the same restrictions as applied to the Class B Shares before the Conversion, including, among others, certain transfer restrictions, waiver of redemption rights and the obligation to vote in favor of an initial business combination as described in the prospectus for the IPO.
