The Company has determined that it is unable to file the Form 10-K for the year ended December 31, 2023 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense because it requires additional time to complete its financial statement preparation and review process. Among other things, the Company is continuing to assess the accounting treatment related to certain expenses the Company incurred in relation to its business. Although the assessment is not yet complete, the Company expects to report material weaknesses in its internal controls over financial reporting and its disclosure controls and procedures.
The Company intends to file the Form 10-K within the fifteen-day grace period provided by Rule 12b-25.

The Company expects that the results of operations to be included in the Annual Report on Form 10-K for the year ended December 31, 2023 will reflect significant changes from the Company’s results of operations for the year ended December 31, 2022. Such changes are expected to include, among other things, as compared to the year ended December 31, 2022, a continued decline in sales as disclosed in the Company’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on November 14, 2023. Because the Company has not completed its financial statements and the review process as described above, the Company is unable to provide a reasonable estimate of its results of operations for the year ended December 31, 2023 and will instead provide them by the extended deadline. |
