State below in reasonable detail why Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Mercato Partners Acquisition Corporation (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-Q for the year ended September 30, 2022 (the “Form 10-Q”) by the prescribed due date due to a delay experienced by the Company in completing its financial statements and other disclosures in the Form 10-Q.
The Company is working diligently to complete and file the Form 10-Q as soon as possible. However, given the scope of the process for finalizing the Company’s financial statements to take into account certain subsequent events in the Company’s financial statements, the Company is unable to complete and file the Form 10-Q by the required due date of November 14, 2022 without unreasonable effort and expense. The Company anticipates that it will file the Form 10-Q no later than the fifth calendar day following the prescribed filing date.
