As previously announced by Agriculture & Natural Solutions Acquisition Corporation (the “Company”), on August 28, 2024, the Company, Australian Food & Agriculture Company Limited (“AFA”), Agriculture & Natural Solutions Company Limited ACN 680 144 085 (“NewCo”) and the other parties thereto entered into a Business Combination Agreement (the transactions contemplated thereby, the “Business Combination”).
On December 13, 2024, the Company issued a press release announcing that the Treasurer of Australia (the “Treasurer”) confirmed on December 12, 2024 (Australian Eastern Daylight Time) that the Commonwealth Government of Australia has no objection to the proposed Business Combination (known colloquially as “FIRB Approval” as the Treasurer is advised on such matters by the Foreign Investment Review Board).
