Item 8.01 Other Events.
On March 8, 2022, Endurance Acquisition Corp. (“Endurance”) announced a proposed business combination with SatixFy Communications Ltd. (“SatixFy”). On April 5, 2022, SatixFy announced that it has hired a new Chief Executive Officer, who is expected to join the company on June 26, 2022 to succeed SatixFy Co-Founder and Chief Executive Officer Yoel Gat. Mr. Gat will remain with SatixFy as Co-Chairman of its board of directors. In addition, SatixFy announced that Yoav Leibovitch, SatixFy’s Co-Founder and Chief Financial Officer, has been named as Co-Chairman of SatixFy’s board of directors.
On April 5, 2022, SatixFy issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated by reference herein.
Important Information About the Proposed Transaction and Where to Find It
The proposed business combination will be submitted to shareholders of Endurance for their consideration. SatixFy intends to file a joint proxy statement/registration statement on Form F-4 (the “Registration Statement”) with the Securities and Exchange Commission (the “SEC”) which will include preliminary and definitive proxy statements to be distributed to Endurance’s shareholders in connection with Endurance’s solicitation for proxies for the vote by Endurance’s shareholders in connection with the proposed business combination and other matters as described in the Registration Statement, as well as the prospectus relating to the offer of the securities to be issued to SatixFy’s shareholders in connection with the completion of the proposed business combination.
