Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On April 8, 2024, the Nasdaq Stock Market (“Nasdaq”) announced that it will delist the Class A common stock, units, and warrants of TG Venture Acquisition Corp. (the “Company”). The Company’s securities were suspended on March 11, 2024, and have not traded on Nasdaq since that time. Nasdaq filed a Form 25 with the Securities and Exchange Commission to complete the delisting on April 9, 2024; the delisting becomes effective ten days later, on April 19, 2024.
