Item 8.01. Other Events.
On August 14, 2024, Cantor Equity Partners, Inc. (the “Company”) consummated its initial public offering (“IPO”) of 10,000,000 Class A ordinary shares, par value $0.0001 per share (the “Shares”). The Shares were sold at a price of $10.00 per Share, generating gross proceeds to the Company of $100,000,000.
Simultaneously with the closing of the IPO, pursuant to a private placement shares purchase agreement with Cantor EP Holdings, LLC (the “Sponsor”), the Company completed the private sale (the “Private Placement”) of 300,000 Class A ordinary shares (the “Private Placement Shares”) to the Sponsor at a purchase price of $10.00 per Private Placement Share, generating gross proceeds to the Company of $3,000,000.
A total of $100,000,000, or $10.00 per Share, comprised of the net proceeds from the IPO and the proceeds of the sale of the Private Placement Shares, was placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee.
An audited balance sheet as of August 14, 2024 reflecting the receipt of the proceeds from the IPO and the Private Placement has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
