The Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2024, cannot be filed within the prescribed time period because the Company requires additional time to ensure adequate disclosure of certain information required to be included in the Form 10-Q. The Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2024 will be filed on or before the 5th calendar day following the prescribed due date.

The Company anticipates that there will be a significant change in its results of operations for the quarter ended March 31, 2024, as compared to the quarter ended March 31, 2023, as a result of, among other things, the following:
For the three months ended March 31, 2023, we had net income of approximately $1,353,000, which consisted of income from investments held in the Trust Account of approximately $1.6 million, offset by certain expenses. The Company anticipates that net income for the three months ended March 31, 2024 will be significantly less, given the fact that the assets in the Trust Account have been significantly reduced due to redemptions in fiscal year 2023.
