Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On September 26, 2023, Athena Consumer Acquisition Corp. (“Athena” or the “Company”) announced that, in connection with its proposed business combination (the “Business Combination”) among Next.e.GO Mobile SE (“e.GO”), the Company, Next.e.GO B.V., a wholly-owned subsidiary of e.GO (“TopCo”), and Time is Now Merger Sub, Inc., a wholly-owned subsidiary of TopCo (“Merger Sub”), it intends to voluntarily delist its Class A common stock, units and public warrants from the NYSE American LLC (“NYSE American”), subject to the closing of the Business Combination.
The Company’s decision to voluntarily delist its Class A common stock, units and public warrants from the NYSE American is due to the fact that upon the consummation of the Business Combination, the Company will become a wholly owned subsidiary of TopCo, and TopCo’s ordinary shares are expected to be traded on the Nasdaq Stock Market LLC (“Nasdaq”) under the new symbol “EGOX”, subject to the closing of the Business Combination.
The delisting from NYSE American and the listing on Nasdaq are subject to the closing of the Business Combination.
