PART III — NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Athena Technology Acquisition Corp. II (the “Company”) will not, without unreasonable effort and expense, be able to file its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2024 (the “Third Quarter Form 10-Q”) within the prescribed time period.
The Company previously reported in its Notification of Late Filing on Form 12b-25, filed with the U.S. Securities and Exchange Commission (the “SEC”) on April 2, 2024, that the Company was unable to file its Annual Report on Form 10-K for the year ended December 31, 2023 (the “Form 10-K”) within the prescribed time period as the Company required additional time to compile the necessary disclosure and financial information to complete the Form 10-K filing. The Company filed the Form 10-K with the SEC on September 27, 2024.
The Company also previously reported in its Notifications of Late Filings on Form 12b-25, filed with the SEC on May 16, 2024 and August 14, 2024, that the Company was unable to file its Quarterly Reports on Form 10-Q for the quarters ended March 31, 2024 (the “First Quarter Form 10-Q”) and June 30, 2024 (the “Second Quarter Form 10-Q”), respectively, within the prescribed time periods given the Company’s time and focus dedicated to completing the Form 10-K which necessarily delayed its reporting and review process for the First Quarter Form 10-Q and the Second Quarter Form 10-Q. The Company filed both the First Quarter Form 10-Q and the Second Quarter Form 10-Q with the SEC on November 1, 2024.
The Company is working diligently to complete and file the Third Quarter Form 10-Q as soon as practicable. However, given the time and focus dedicated to the completion of the Form 10-K, the First Quarter Form 10-Q and the Second Quarter Form 10-Q, the Company is necessarily delayed in its reporting and review process for the quarter ended September 30, 2024. As a result, the Company does not expect to complete the preparation and filing of the Third Quarter Form 10-Q on or before the fifth calendar day following the prescribed due date.
