Item 7.01 Regulation FD Disclosure
As previously disclosed, ShoulderUp Technology Acquisition Corp. (the “Company”) has called a special meeting of stockholders (the “Special Meeting”) to approve an amendment to the Company’s Amended and Restated Certificate of Incorporation (the “Charter”) to effect an extension of time for the Company to consummate an initial business combination (the “Charter Amendment Proposal”) from November 19, 2023 to May 19, 2023 or such earlier date as may be determined by the Company’s board of directors in its sole discretion (the “Extension”).
In connection with the Special Meeting, the Company and ShoulderUp Technology Sponsor LLC (the “Sponsor”) intend to enter into one or more agreements (the “Non-Redemption Agreements”) with one or more stockholders pursuant to which, if such stockholders do not redeem (or validly rescind any redemption requests on) their shares of Class A common stock (the “Non-Redeemed Shares”) in connection with the Special Meeting, the Sponsor will agree to transfer to such investors shares of Class B common stock held by the Sponsor immediately following the consummation of an initial business combination if they continue to hold such Non-Redeemed Shares through the Special Meeting.
Additionally, pursuant to the Non-Redemption Agreements, the Company and the Sponsor will agree to call a special meeting of stockholders at a later date and put forth a proposal to amend the Company’s Charter to provide for the right of a holder of Class B common stock of the Company to convert its shares of Class B common stock into shares of Class A common stock on a one-to-one basis at any time and from time to time at the election of the holder. Upon conversion of Class B common stock to Class A common stock, such Class A common stock will not be entitled to receive funds from the trust account through redemptions or otherwise and will remain subject to the existing transfer restrictions.
The Non-Redemption Agreements are not expected to increase the likelihood that the Charter Amendment Proposal is approved by stockholders but is expected to increase the amount of funds that remain in the Company’s trust account following the Special Meeting.
