Item 1.01 Entry into a Material Definitive Agreement.
On March 11, 2024, Corebridge Financial, Inc. (the “Company”) entered into an Amendment and Waiver of Consent and Voting Rights (the “Amendment and Waiver”) with American International Group, Inc. (“AIG”) and certain affiliates of Argon Holdco LLC (“Argon”) and Blackstone, Inc. (“Blackstone”) that (i) amends the Stockholders Agreement, dated as of November 2, 2021, between the Company, AIG and Argon such that Argon shall have no right to consent to any repurchase of shares of common stock of the Company, par value $0.01 per share (“Common Stock”) if such repurchase would result in Argon owning, of record, more than 9.9% of the then-outstanding Common Stock, provided that, no such repurchase will be permitted if it would result in Argon owning, of record, more than 14.9% of the then-outstanding Common Stock and (ii) waives the right of Argon, Blackstone and certain of their affiliates to vote or act by written consent with respect to any shares of Common Stock owned by them from time to time.
