Explanation of Responses:

1. On August 28, 2024, the Issuer delivered a capital drawdown notice and upon delivery of such notice, New Mountain Guardian Investments IV, L.L.C. became obligated to purchase LLC Interests, which purchase is expected to close on or about September 12, 2024, but in no event later than October 24, 2024.

2. Represents securities held by New Mountain Guardian Investments IV, L.L.C. Steven B. Klinsky is the managing member of New Mountain Guardian Investments IV, L.L.C. Each Reporting Person disclaims beneficial ownership of the reported securities except to the extent of its pecuniary interest therein.
