1. The securities identified in Box 4 were purchased pursuant to a Stock Transfer Agreement dated March 4, 2024 by and between the Reporting Person and Virage Capital Managment LP ("Seller"). Payment by Reporting Person for the above-reference securities is due to Seller no later than May 1, 2024.
