As previously disclosed, on January 12, 2021, Cantel Medical Corp. (“Cantel”) and STERIS plc (“STERIS”) entered into an Agreement and Plan of Merger (as amended on March 1, 2021, the “Merger Agreement”), under which, on the terms and subject to the conditions therein, STERIS will acquire Cantel (the “Transaction”).
The Transaction is conditioned on, among other things, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”). On January 27, 2021, STERIS and Cantel each filed their required HSR Act filing with respect to the Transaction, and on February 26, 2021, STERIS and Cantel each voluntarily withdrew its HSR filing, and re-filed such forms on March 1, 2021. On March 31, 2021 at 11:59 p.m. Eastern Time, the waiting period under the HSR Act expired.
Cantel anticipates completing the Transaction during the fourth quarter of its fiscal 2021 (ending July 31, 2021), subject to the satisfaction or waiver of the closing conditions specified in the Merger Agreement.
