Jupiter Wellness Acquisition Corp. (the “Company”) had previously issued a Current Report on Form 8-K on May 5, 2023, stating that it was striving to meet all necessary closing conditions as described in the Proxy Statement/Prospectus, and if successful, the Company hopes to close the Business Combination with Chijet, Inc. and its affiliates (the “Business Combination”) by May 15, 2023. As an update to such Current Report on Form 8-K, the Company has not yet satisfied all necessary closing conditions and does not currently expect the closing to be held by May 15, 2023. However, the Company continues to strive towards satisfying such closing conditions as soon as possible.
