1. The purchase transaction reported herein was effected in multiple transactions at prices ranging from $16.31 to $16.54 on July 31, 2024. The price reported above reflects the weighted average purchase price for the transaction reported herein. The Reporting Person hereby undertakes to provide upon request to the Staff of the Securities and Exchange Commission, the Issuer, or any security holder of the Issuer full information regarding the number of shares and the prices at which the reported transaction was effected.

2. On July 12, 2024, the Reporting Person entered into a Transition Agreement with the Issuer pursuant to which, among other things, he agreed to forfeit all of his outstanding restricted stock units on July 31, 2024.
