Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of AMTM common stock.

2. One-half of the restricted stock units shall vest on the 18th month and three-year anniversaries of the date of grant.

3. One-third of the restricted stock units shall vest on each of the first, second and third anniversaries of the date of grant.
