Explanation of Responses:

1. Represents shares issuable on settlement of restricted stock units ("RSUs") granted to the Reporting Person. The RSU award vests as to 12.5% on the six month anniversary of the vesting commencement date falling in August 2024, and vests as to 6.25% quarterly thereafter for the following fourteen quarters, in each case, subject to the reporting person's continued service with the Issuer through the applicable vesting date.

2. Each RSU represents a contingent right to receive one share of the Issuer's common stock upon settlement for no consideration.
