Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 4, 2022, Donaldson Company, Inc. (the “Company”) announced certain leadership changes as part of an organizational redesign. In connection with those changes, on October 3, 2022, Jeffrey E. Spethmann resigned as Senior Vice President, Industrial Products of Donaldson Company, Inc. (the “Company”), effective as of the close of business on October 7, 2022, and he will remain an employee until November 1, 2022 to assist with the transition of his responsibilities. In connection with Mr. Spethmann’s resignation, he has agreed not to solicit the Company’s employees for two years and executed a customary release of claims, for which the Company has agreed to pay Mr. Spethmann a lump sum of $465,000 and provide outplacement assistance of up to $15,000.
