Compounded Daily SOFR, calculated in arrear as described herein and compounding daily over each 2055 Notes Floating Rate Interest Period (as defined below), plus 2.42% per annum. During the 2055 Notes Floating Rate Period, interest will be payable quarterly in arrear on June 12, 2054, September 12, 2054, December 12, 2054 and the 2055 Notes Maturity Date.
From (and including) the Issue Date, interest will accrue on the floating rate notes at a floating rate equal to a benchmark rate based on Compounded Daily SOFR, calculated in arrear as described herein and compounding daily over each Floating Rate Notes Interest Period (as defined below), plus 1.49% per annum. Interest on the floating rate notes will be payable quarterly in arrear on March 12, June 12, September 12 and December 12 of each year, commencing on June 12, 2024 and ending on the Floating Rate Notes Maturity Date (as defined below).
The notes will constitute our direct, unconditional, unsecured and unsubordinated obligations ranking pari passu without any preference among themselves. In the event of our winding-up or administration, the notes will rank pari passu with all our other outstanding unsecured and unsubordinated obligations, present and future, except such obligations as are preferred by operation of law.
We may, at our option, redeem (i) the 2028 notes, in whole or in part, pursuant to the 2028 Notes Make-Whole Redemption (as defined below) at any time on or after September 12, 2024 (six months following the Issue Date and, if any additional 2028 notes are issued after the Issue Date, except for the period of six months beginning on the issue date for any such additional 2028 notes) to (but excluding) March 12, 2027; and/or (ii) the 2028 notes then outstanding, in whole but not in part, on the 2028 Notes Par Redemption Date, at an amount equal to 100% of their principal amount together with accrued but unpaid interest, if any, on the principal amount of the 2028 notes to be redeemed to (but excluding) the redemption date, on the terms and subject to the provisions set forth in this prospectus supplement under “Description of Senior Notes—Optional Redemption.”
We may, at our option, redeem (i) the 2030 notes, in whole or in part, pursuant to the 2030 Notes Make-Whole Redemption (as defined below) at any time on or after September 12, 2024 (six months following the Issue Date and, if any additional 2030 notes are issued after the Issue Date, except for the period of six months beginning on the issue date for any such additional 2030 notes) to (but excluding) March 12, 2029; and/or (ii) the 2030 notes then outstanding, in whole but not in part, on the 2030 Notes Par Redemption Date, at an amount equal to 100% of their principal amount together with accrued but unpaid interest, if any, on the principal amount of the 2030 notes to be redeemed to (but excluding) the redemption date, on the terms and subject to the provisions set forth in this prospectus supplement under “Description of Senior Notes—Optional Redemption.”
