As previously announced on December 20, 2023, Aon plc, an Irish public limited company (“Aon”), Randolph Acquisition Corp., a Delaware corporation and an indirect, wholly owned subsidiary of the Company (“Acquirer”), and Randolph Merger Sub LLC, a Delaware limited liability company and a direct, wholly owned subsidiary of Acquirer, entered into an Agreement and Plan of Merger (the “Merger Agreement”) with NFP Intermediate Holdings A Corp., a Delaware corporation (“NFP”), and NFP Parent Co, LLC, a Delaware limited liability company, pursuant to which Acquirer will acquire NFP.
Both Aon and NFP expect the closing to occur on or around April 25, 2024, subject to the satisfaction of the closing conditions specified in the Merger Agreement. Until closing, Aon and NFP will continue to operate independently.
