Explanation of Responses:

1. These Ford Stock Units result from dividend equivalents credited to my account by the Company, without payment by me, under the Company's 2024 Stock Plan for Non-Employee Directors. In general, these Ford Stock Units will be converted into shares of Ford common stock and distributed to me, without payment, on the earlier of 5 years from the grant date to which the dividend equivalent relates and separation from the Board.

2. These Ford Stock Units result from dividend equivalents credited to my account by the Company, without payment by me, under the Company's 2014 Stock Plan for Non-Employee Directors. In general, these Ford Stock Units will be converted into shares of Ford common stock and distributed to me, without payment, on the earlier of 5 years from the grant date to which the dividend equivalent relates and separation from the Board.
