Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 11, 2024, the Board of Directors of Forward Industries, Inc. (the “Company”) appointed Robert Wild as Chief Executive Officer of Intelligent Product Solutions, Inc., a subsidiary of the Company (“IPS”) effective January 1, 2025. Mr. Wild is currently the Chief Operating Officer of IPS. Paul Severino shall remain as President of IPS and beginning January 1, 2025, Mr. Severino shall be employed on a part-time basis and his salary shall be reduced to $170,000 per year (plus prior allowances).
There was no arrangement or understanding between Mr. Wild and any other persons pursuant to which he was selected as an officer and there are no related party transactions between the Company and Mr. Wild reportable under Item 404(a) of Regulation S-K. Mr. Wild’s background is disclosed in the Company’s DEF 14A filed on January 2, 2024.
