Item 1.01. Entry into Material Agreement.
On February 8, 2023, NAPCO Security Technologies, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Needham & Company, LLC and William Blair & Company, L.L.C. (the “Underwriters”), the Company’s President, Chief Executive Officer and Chairman of the Board of Directors, Richard L. Soloway, and the Company’s Chief Financial Officer and Executive Vice President of Operations, Kevin S. Buchel (each, a “Selling Stockholder” and together, the “Selling Stockholders”), relating to the sale by the Selling Stockholders of an aggregate of 2,100,000 shares of the Company’s common stock, $0.01 par value per share (the “Common Stock”) owned by them in an underwritten secondary public offering, at a price to the public of $31.50 per share. The Selling Stockholders will pay any underwriting discounts and commissions and expenses incurred by the Selling Stockholders in the offering. Pursuant to the Underwriting Agreement, the Selling Stockholders also granted the Underwriters a 30-day option to purchase from the Selling Stockholders up to an aggregate of 300,000 additional shares of common stock at the public offering price, less the underwriting discount. The Company will not receive any proceeds from the sale of shares of common stock by the Selling Stockholders, nor will the Company be issuing any shares in connection with the offering. The offering is expected to close on or about February 13, 2023, subject to the satisfaction of customary closing conditions contained in the Underwriting Agreement.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company and the Selling Stockholders, customary conditions to closing, indemnification obligations of the Company, the Selling Stockholders and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions.
The secondary public offering by the Selling Stockholders is being made pursuant to the Company’s registration statement on Form S-3ASR (Registration Statement No. 333-267376), previously filed by the company with the Securities and Exchange Commission (the “SEC”) and automatically effective on September 12, 2022, the preliminary prospectus supplement, together with the accompanying prospectus, filed with the SEC on February 8, 2023, and a final prospectus supplement, together with the accompanying prospectus, that was filed with the SEC on February 9, 2023. The foregoing is only a brief description of the terms of the Underwriting Agreement, does not purport to be a complete statement of the rights and obligations of the parties under the Underwriting Agreement and the transactions contemplated thereby, and is qualified in its entirety by reference to a copy of the Underwriting Agreement which is attached as Exhibit 1.1 hereto.
On February 8, 2023, the Company issued a press release announcing the pricing of the secondary offering. A copy of such press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 1.01 by reference.
