ITEM 7.01 Regulation FD
On May 28, 2024, Atrion Corporation, a Delaware corporation (the “Company”) issued a press release announcing the execution of an Agreement and Plan of Merger, by and among Nordson Corporation, an Ohio corporation (“Nordson”), Alpha Medical Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Nordson and the Company. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
