On January 4, 2021, SVB Financial Group (“SVB”) and Boston Private Financial Holdings, Inc. (“Boston Private”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of January 4, 2021 (the “Merger Agreement”), pursuant to which, upon the terms and subject to the conditions set forth therein, Boston Private will merge with and into SVB, with SVB continuing as the surviving entity.
