EXPLANATORY NOTE
This Registration Statement on Form S-8 is filed pursuant to General Instruction E to Form S-8 for the purpose of registering an additional 1,000,000 shares of common stock, $.10 par value per share (“Common Stock”), of LiveRamp Holdings, Inc. (the “Company”) to be issued pursuant to the LiveRamp Holdings, Inc. Employee Stock Purchase Plan (the “Plan”) (formerly known as the 2005 Stock Purchase Plan of LiveRamp Holdings, Inc. and the 2005 Stock Purchase Plan of Acxiom Corporation). Accordingly, the contents of the earlier registration statement on Form S-8 (File No. 333-127743) filed with the Securities and Exchange Commission (the “Commission”) on August 22, 2005, as amended by Post-Effective Amendment No. 1 filed with the Commission on October 2, 2018, are incorporated by reference in this Registration Statement to the extent not modified hereby.
