Item 7.01 Regulation FD Disclosure.
On June 27, 2022, Citizens Financial Group (the “Company”) issued a press release announcing key aspects of its 2022 Capital Plan, which includes increasing the Company’s common share repurchase authorization to $1.0 billion. The Company’s announcement follows the publication on June 23, 2022 by the Board of Governors of the Federal Reserve System of the results from its DFAST stress tests and communication to the Company of its preliminary stress capital buffer of 3.4%, effective October 1, 2022.
The press release is attached hereto as Exhibit 99.1.
