On January 18, 2024, M.D.C. Holdings, Inc. (the “Company”) and Sekisui House, Ltd. issued a joint press release announcing that the parties have entered into an Agreement and Plan of Merger, dated as of January 17, 2024 (the “Merger Agreement”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
