Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) Election of Director. On October 10, 2024, the KB Home board of directors elected Ms. Cheryl J. Henry as a director for a term ending at KB Home’s 2025 Annual Meeting of Stockholders and appointed her to the board’s nominating and corporate governance committee. Ms. Henry will participate in the same compensation program as KB Home’s other independent directors. Ms. Henry is the former President, Chief Executive Officer, and Chairwoman of Ruth’s Hospitality Group, Inc., a fine-dining restaurant company. She also serves on the board of directors of Cracker Barrel Old Country Store, Inc. (NASDAQ: CBRL). With Ms. Henry’s election, the KB Home board of directors has ten members, nine of whom are independent.
