Dear Ladies and Gentlemen:
1. Introductory. General Motors Financial Company, Inc., a Texas corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the several underwriters named in Schedule A hereto (the “Underwriters”), $1,350,000,000 aggregate principal amount of its 5.800% Senior Notes due 2028 (the “2028 Notes”) and $500,000,000 aggregate principal amount of its 6.400% Senior Notes due 2033 (the “2033 Notes,” and together with the 2028 Notes, the “Offered Securities”). The 2028 Notes are to be issued under an indenture, dated October 13, 2015 (the “Base Indenture”), as supplemented by a supplemental indenture relating to the 2028 Notes, to be dated on or around the Closing Date (the “2028 Supplemental Indenture,” and the Base Indenture as supplemented by the 2028 Supplemental Indenture, the “2028 Indenture”), each between the Company and Computershare Trust Company, N.A. (as successor to Wells Fargo Bank, National Association), as trustee (the “Trustee”). The 2033 Notes are to be issued under the Base Indenture, as supplemented by a supplemental indenture relating to the 2033 Notes (the “2033 Supplemental Indenture,” and the Base Indenture as supplemented by the 2033 Supplemental Indenture, the “2033 Indenture”), each between the Company and the Trustee.
