Item 8.01 Other Events.
On November 26, 2024, Astronics Corporation (the “Company”) issued a press release relating to the pricing of $150,000,000 aggregate principal amount of 5.500% Convertible Senior Notes due 2030 (the “Notes”) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.
