| Items of Business: | | | • Elect two Class III directors to our board of directors for terms to expire at the 2025 annual meeting of stockholders; • Approve, by non-binding vote, the compensation of the Company’s named executive officers for 2021; • Ratify the selection of Ernst & Young LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2022; • Approve the amendment to the 2013 Stock Incentive Plan to increase the number of authorized shares; • Approve the amendment to the 2017 Employee Stock Purchase Plan to increase the number of authorized shares; and • Transact any other business as may properly come before the Annual Meeting or any postponement, continuation or adjournment of the Annual Meeting.
