Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 29, 2024, Modivcare Inc., a Delaware corporation (the “Company”), and Ilias Simpson agreed that Mr. Simpson will step down as the Company’s President of Mobility. Mr. Simpson has agreed to continue to serve the Company in a transitional role through May 1, 2024, to ensure a smooth transition of duties and client relationships to others in the Company who are poised and well-suited to take over the additional responsibilities performed by Mr. Simpson. The responsibilities previously held by Mr. Simpson will be distributed among existing members of the leadership team. This approach ensures continuity, leverages the diverse expertise within the organization, maintains the momentum of Modivcare's strategic initiatives, and capitalizes on the Company’s succession planning and commitment to nurturing talent from within. For example, Mr. Simpson’s diversity, equity and inclusion (DEI) responsibilities will be transitioned promptly to the leadership of Mr. Enrique Toledo, the Company’s Chief People Officer, who has been serving as co-executive sponsor of DEI for the past six months. L. Heath Sampson, the Company’s President and Chief Executive Officer, will also be instrumental in overseeing, operating, and transitioning the Mobility business in collaboration with other experienced senior leaders within the Company.
