Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 7, 2024, the registrant updated its severance arrangement with Ms. Anne Bailey, President of ModivCare Home, solely to make it consistent with the registrant’s executive severance policy and the arrangements of the registrant’s other similarly situated executive officers and provide for twelve months of severance in the event of a termination of employment without cause or resignation for good reason. This description is a summary only of the material terms of the amended severance arrangement, a copy of which is expected to be filed with the Company's Form 10-Q for the quarter ending June 30, 2024. Investors and other interested parties are encouraged to read the amended arrangement in its entirety when it becomes available because it may contain important information not summarized in this current report.
